PBCPC CHARTER REVISION: The Board of Directors of the Palm Beach County Planning Congress, Inc. proposes to revise the Congress' corporate charter. This is the first thorough revision of the Congress' Charter since it was adopted in 1976. These revisions were initially intended to allow the organization to qualify for certain federal and state tax benefits. In the course of making these changes, however, it became clear that a thorough legal "housecleaning" was long overdue. State corporate law has changed dramatically since 1976, encouraging a much simpler corporate structure. Furthermore, the 1976 Charter was laden with anachronisms and requirements that no longer serve the organization's needs. Charter revision is one component of a program of administrative improvements your Board is making during the current year.
YOUR COMMENTS REQUESTED: While formal ratification of these changes by the membership is not required, the Board of Directors would like to have your comments before final action is taken to record the revised Charter. Please follow the link to our website indicated below to review the proposed changes and background information on this effort.
QUESTIONS ANSWERS: I would be happy to answer any questions you may have about the Board's goals, the revision process, or the specific changes we propose to make. We are especially interested in any specific changes in the Charter you think should be made (or not made, if that is your opinion). We do not have a required date to submit the revised Charter to the State. However, Charter revision is a required first step towards obtaining Federal 501C3 and State sales tax exemption status. These require a great deal of follow-up paperwork, and we do not want to delay filing the revised Charter indefinitely.

RESPONSE DEADLINE: Please let me have your comments and questions no later than JUNE 25, 2008. If you think the proposed Amendment and Restated Charter needs to be further revised, I will submit your proposed changes to the Board of Directors for consideration at its meeting on JULY 1, 2008.
